1. Agreement to Terms

By accessing and using Shopiisi ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, you must not use the Service.

These Terms of Service ("Terms") constitute a legally binding agreement between you and Virelund OÜ (registry code: 17384217, VAT: EE102935031, "us", "we", or "our"), governing your access and use of the Service.

2. Service Description

Shopiisi is a multi-tenant software-as-a-service (SaaS) e-commerce platform that enables merchants to create and manage online storefronts. The Service includes:

  • A merchant dashboard for store management, product catalog, and order fulfillment
  • Customer-facing storefronts accessible via subdomains or custom domains
  • Integrated payment processing through third-party providers
  • Shipping provider integrations for Baltic region carriers
  • A content management system for pages and blog posts
  • Booking and appointment scheduling features

3. Account Terms

When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding your password and for maintaining the security of your account.

  • You must be at least 18 years of age, or the age of majority in your jurisdiction, to use this Service
  • Your login credentials may only be used by one person — shared logins are not permitted
  • You are responsible for all activity that occurs under your account, whether authorized by you or not
  • You must notify us immediately at info@shopiisi.com of any unauthorized use of your account or any other security breach
  • We are not liable for any loss or damage arising from your failure to comply with this section

4. Free Trial

We offer a 30-day free trial for new accounts. During the trial:

  • A valid credit or debit card is required for identity verification purposes; your card will not be charged during the trial period
  • You will have access to the full features of your selected plan
  • If you do not select a paid plan before the trial expires, your account will be downgraded to the free tier (if available) or suspended
  • The trial period is non-transferable and limited to one trial per person or business entity
  • We reserve the right to modify or discontinue the free trial at any time without prior notice

5. Payment Terms and Refund Policy

Our Service operates on a subscription model. By subscribing to a paid plan, you agree to the following:

  • Subscription fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle
  • We reserve the right to change pricing with at least 30 days' written notice; price changes take effect at the start of your next billing cycle
  • Failure to pay may result in suspension or termination of your account

5.1 No Cash Refunds

All subscription payments are non-refundable. We do not provide monetary refunds, partial refunds, or pro-rated refunds for any reason, including but not limited to:

  • Early cancellation of a subscription period
  • Unused portion of a billing cycle
  • Dissatisfaction with the Service
  • Failure to use the Service during a billing period
  • Downgrading to a lower-priced plan mid-cycle

This no-refund policy applies to the fullest extent permitted by applicable law. Nothing in this section limits your rights under mandatory consumer protection laws of your jurisdiction that cannot be waived by contract.

5.2 Service Credits as Sole Remedy

Where compensation is warranted (e.g., for service downtime exceeding our SLA), the sole and exclusive remedy is the issuance of service credits as described in Section 9 (Service Level Agreement). Service credits:

  • Are applied as additional subscription days added to your current billing period
  • Have no cash or monetary value and cannot be redeemed for currency
  • Are non-transferable between accounts
  • Expire if your account is cancelled or terminated

6. Acceptable Use

You may not use our Service for any purpose that is unlawful or prohibited by these Terms. Prohibited uses include:

  • Selling illegal, counterfeit, or regulated goods without proper licensing
  • Violating any international, national, or local laws, regulations, or ordinances
  • Infringing upon intellectual property rights of Shopiisi or any third party
  • Harassing, abusing, threatening, or discriminating against any person
  • Submitting false, misleading, or fraudulent information
  • Uploading or transmitting viruses, malware, or other malicious code
  • Attempting to reverse engineer, decompile, or disassemble any part of the Service
  • Using the Service to send unsolicited spam or phishing communications
  • Circumventing rate limits, security measures, or access controls
  • Reselling or redistributing the Service without our written authorization

Violation of this section may result in immediate account suspension or termination without notice or refund.

7. Intellectual Property Rights

The Service and its original content, features, functionality, source code, design, and branding are and will remain the exclusive property of Virelund OÜ and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws of Estonia and the European Union.

Your Content: You retain ownership of all content you upload to the Service (product images, descriptions, blog posts, etc.). By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to host, display, and distribute your content solely for the purpose of providing the Service. This license terminates when you delete your content or close your account.

Feedback: Any feedback, suggestions, or ideas you submit to us may be used by us without restriction or obligation to compensate you.

8. Data Protection and Privacy

Your privacy is important to us. Our Privacy Policy governs the collection, use, and disclosure of your personal information and is incorporated into these Terms by reference.

We comply with GDPR and other applicable data protection regulations. As a merchant using our Service, you are an independent data controller for your customers' personal data. You are responsible for:

  • Publishing your own privacy policy for your storefront
  • Obtaining required consents from your customers
  • Responding to data subject requests from your customers
  • Complying with all applicable data protection laws in your jurisdiction

9. Service Level Agreement (SLA)

We target 99% monthly uptime for our Service, excluding scheduled maintenance windows. Scheduled maintenance will be announced at least 24 hours in advance when possible.

Service Credits: Service Credits: If we fail to meet the 99% uptime target in any calendar month, affected paying customers may request service credits:

  • 95–99% uptime: 3 days added to subscription
  • 90–95% uptime: 7 days added to subscription
  • Below 90% uptime: 14 days added to subscription

Service credit requests must be submitted in writing to info@shopiisi.com within 30 days of the incident. Credits are applied to future billing periods, have no cash value, and cannot be converted to monetary refunds under any circumstances. Service credits are the sole and exclusive remedy for downtime.

Exclusions: The SLA does not apply to downtime caused by force majeure events (Section 14), scheduled maintenance, your own actions or equipment, third-party service failures, or DDoS attacks.

10. Account Suspension and Termination

Suspension by Us: We may suspend your access to the Service immediately and without prior notice if:

  • You breach any provision of these Terms
  • Your payment method fails and is not resolved within 7 days
  • We receive a valid legal or regulatory order requiring suspension
  • We reasonably believe your account is being used for fraudulent or illegal activity
  • Your use of the Service poses a security risk to the platform or other users
  • You violate the Acceptable Use policy (Section 6)

During suspension, your data is preserved but your storefront and dashboard access are disabled. We will notify you of the reason for suspension and provide an opportunity to cure the issue where reasonable.

Termination by Us: We may terminate your account permanently if: the issue leading to suspension is not resolved within 14 days; the violation is severe or repeated; or required by law enforcement or regulatory action.

No refund is issued upon suspension or termination, regardless of the remaining time in your billing cycle.

11. Cancellation and Data Handling

Cancellation by You: You may cancel your subscription at any time through your account settings or by contacting us at info@shopiisi.com.

  • During free trial: Your account remains active until the trial period ends. No charge is applied.
  • Paid subscription: Your account remains active and fully functional until the end of the current billing period. No pro-rated refund is provided for the remaining days.
  • Data retention: After cancellation, your data is retained for 1 year (365 days) in case you wish to reactivate your account.
  • Deletion warnings: We will send email notifications 7 days and 1 day before permanent data deletion.
  • Data deletion: After the 1-year retention period, all your data is permanently deleted and cannot be recovered, except where retention is required by law (e.g., financial records for 7 years per Estonian Accounting Act § 12).
  • Early deletion: You may request immediate deletion of all data by contacting info@shopiisi.com. This action is irreversible.
  • Data export: You may export your data at any time through the account settings while your account is active.

12. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law:

  • We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • We do not guarantee that the Service will be uninterrupted, error-free, or secure
  • We do not warrant that the results obtained from the Service will be accurate or reliable
  • We are not responsible for the content, accuracy, or legality of products you sell through the Service

Nothing in this section excludes warranties that cannot be excluded under applicable mandatory consumer protection laws.

13. Limitations of Liability

To the maximum extent permitted by law, Virelund OÜ, its directors, employees, partners, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or data corruption
  • Loss of goodwill or reputation
  • Cost of procurement of substitute services
  • Any other intangible losses

Maximum Liability: Our total cumulative liability to you for any and all claims arising from or related to the Service shall not exceed the lesser of: (a) the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to such liability, or (b) €500.

These limitations apply regardless of the legal theory on which your claim is based, including contract, tort (including negligence), strict liability, or any other basis, and whether or not we have been advised of the possibility of such damages.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, earthquakes, floods, or severe weather
  • War, terrorism, civil unrest, sanctions, or government actions
  • Epidemics, pandemics, or public health emergencies
  • Internet or telecommunications infrastructure failures not caused by us
  • Third-party service provider outages (AWS, payment processors, shipping carriers, etc.)
  • Cyberattacks, DDoS attacks, or other malicious interference by third parties
  • Power outages or utility failures
  • Labor disputes or supply chain disruptions

In such events, our obligations will be suspended for the duration of the force majeure event. We will make reasonable efforts to minimize the impact, notify affected users, and resume normal operations as soon as practicable.

15. Governing Law and Dispute Resolution

These Terms shall be interpreted and governed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions.

Informal Resolution: Before filing any legal claim, you agree to attempt to resolve any dispute informally by contacting us at info@shopiisi.com. We will try to resolve the dispute within 30 days.

Consumer Dispute Resolution: If you are an EU consumer and the dispute is not resolved informally, you may submit a complaint to the Estonian Consumer Protection and Technical Regulatory Authority (TTJA) or use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

Jurisdiction: Any legal proceedings shall be conducted in the courts of Harju County, Estonia. You consent to the exclusive jurisdiction and venue of such courts.

16. Indemnification

You agree to indemnify, defend, and hold harmless Virelund OÜ and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) your products, content, or business practices; or (e) any dispute between you and your customers.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

18. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email and in-app notification before the new terms take effect.

Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your account before the effective date.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Virelund OÜ regarding the Service. They supersede all prior agreements, understandings, and representations, whether written or oral.
