1. Agreement to Terms

By accessing and using Shopiisi ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") apply to your access and use of Shopiisi (the "Service") operated by Shopiisi OÜ (registry code: 17384217, "us", "we", or "our").

2. Use License

Permission is granted to temporarily access the materials on Shopiisi for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• modify or copy the materials
• use the materials for any commercial purpose or for any public display
• attempt to reverse engineer any software contained on the website
• remove any copyright or other proprietary notations from the materials

3. Account Terms

When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password and for maintaining the security of your account.

• You must be 18 years or older to use this Service
• Your login may only be used by one person
• You are responsible for all activity that occurs under your account
• You must notify us immediately of any unauthorized use of your account

4. Payment Terms

Our Service operates on a subscription model. By subscribing to our paid plans, you agree to pay all fees associated with your selected plan.

• Subscription fees are billed in advance on a monthly or annual basis
• All payments are non-refundable except as required by law
• We reserve the right to change our pricing with 30 days notice
• Failure to pay may result in suspension or termination of service

5. Prohibited Uses

You may not use our Service:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To submit false or misleading information
• To upload or transmit viruses or any other type of malicious code

6. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Shopiisi OÜ and its licensors. The Service is protected by copyright, trademark, and other laws.

7. Data Protection and Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices regarding the collection and use of your personal information.

We comply with GDPR and other applicable data protection regulations to ensure your personal data is handled securely and transparently.

8. Service Availability and Service Level Agreement

We target 99% monthly uptime for our Service, excluding scheduled maintenance windows. Scheduled maintenance will be announced at least 24 hours in advance when possible.

Service Credits: If we fail to meet the 99% uptime target in any calendar month, affected paying customers may request service credits:

• 95-99% uptime: 3 days added to subscription
• 90-95% uptime: 7 days added to subscription
• Below 90% uptime: 14 days added to subscription

Service credit requests must be submitted within 30 days of the incident. Credits are applied to future billing periods and have no cash value.

9. Disclaimer

The information on this website is provided on an "as is" basis. To the fullest extent permitted by law, this Company:

• excludes all representations and warranties relating to this website and its contents
• excludes all liability for damages arising out of or in connection with your use of this website

10. Limitations of Liability

In no case shall Shopiisi OÜ, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Maximum Liability: Our total cumulative liability to you for any and all claims arising from or related to the Service shall not exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to such liability.

These limitations apply regardless of the legal theory on which your claim is based, including contract, tort (including negligence), strict liability, or any other basis.

11. Governing Law and Dispute Resolution

These Terms shall be interpreted and governed in accordance with the laws of Estonia, without regard to its conflict of law provisions.

Dispute Resolution: Before filing any legal claim, you agree to attempt to resolve any dispute informally by contacting us at info@shopiisi.com. We will try to resolve the dispute within 30 days. If the dispute is not resolved, either party may pursue legal remedies.

Any legal proceedings shall be conducted in the courts of Harju County, Estonia. You agree to submit to the personal jurisdiction of such courts.

12. Termination and Data Handling

You may cancel your subscription at any time through your account settings or by contacting us.

• During free trial: Your account remains active until the trial period ends
• Paid subscription: Your account remains active until the end of the current billing period
• Data retention: After cancellation, your data is retained for 30 days in case you wish to reactivate
• Data deletion: You may request complete deletion of all your data at any time by contacting info@shopiisi.com
• Data export: You may export your data before cancellation through the account settings

We reserve the right to terminate accounts that violate these Terms immediately and without notice.

13. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to:

• Acts of God, natural disasters, earthquakes, floods, or severe weather
• War, terrorism, civil unrest, or government actions
• Epidemics, pandemics, or public health emergencies
• Internet or telecommunications failures not caused by us
• Third-party service provider outages (AWS, payment processors, etc.)
• Cyberattacks, DDoS attacks, or other malicious interference
• Power outages or utility failures

In such events, our obligations will be suspended for the duration of the force majeure event. We will make reasonable efforts to minimize the impact and resume normal operations as soon as possible.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.
